News Release

As of January 1, 2015, AISIN SEIKI will newly establish a "Aisin-Group Corporate Planning Headquarters" and a number of "Product Div." in order to strengthen the formulation and promotion of global management and business strategies of the entire AISIN Group (hereinafter referred to as "Group"), and an "Innovation Center" in order to strengthen operations for creating market-oriented products and new businesses from end-user and long-term perspectives.

AISIN crafted the "AISIN Group VISION 2020" in 2012 and has since been making concerted efforts as a group to achieve consolidated sales of 3.3 trillion yen in 2020, the goal of the VISION. As a result of our efforts to promote the expansion of global bases, develop and launch system products, etc., we are making sure progress with building the foundations for achieving the VISION.

On the other hand, the competitive environment surrounding our Group is rapidly intensifying with the arrival of new mega suppliers born from M&A between global suppliers, increased competitiveness of suppliers in emerging countries, environmental regulations, and increasingly more sophisticated users needs such as advanced driver assistance.

In order to respond to these changes, each of our Group companies has grown so far by pursuing its specialties and competing with each other. However, AISIN has decided to drastically change its organizational structure to further strengthen the formulation and promotion of management and business strategies from the perspectives of the entire Group in the future.

Specifically, we will improve the organizational structure of AISIN SEIKI by newly establishing a "Aisin-Group Corporate Planning Headquarters " and shifting our current function-based system to a "System of Product Div." that bundles our various business domains as "Powertrain Product," "Chassis & Vehicle Safety System Product," etc. so that we can deepen the collaboration among Group companies in each area and compete with a sense of speed.

We will also newly establish an "Innovation Center" in order to strengthen our ability to foresee market needs and create new business models by speedily and intricately managing the cycle of new product development, technological development and the creation of new customers from the perspectives of end-users.

Under this new organizational structure, AISIN will aim to be an "irreplaceable global partner" for our customers around the world and continue to seek further growth.

<Changes in the organizational structure: 3 points>

1. Strengthening of group management/business strategies
We will newly establish a Aisin-Group Corporate Planning Headquarters to lead and coordinate the Group from the perspectives of the entire Group.

2. Structuring our management system on product business axes to strengthen the Group's competitiveness
We will newly establish a number of Product Div. to coordinate Group companies on product business axes and strengthen our overall competitiveness.

3. Structuring our management system to create market-oriented products/new businesses from end-user and long-term perspectives
We will newly establish an Innovation Center to strengthen our ability to create new business models.

1. Details of major organizational changes

(1) Aisin-Group Corporate Planning Headquarters
[1] Establishment of a new Group Business Planning Dept. and transfer of Corporate Planning Dept.
We will newly establish a Group Business Planning Dept. that plans and promotes the business and management for the Group, and transfer the Corporate Planning Dept. from the Corporate Planning & Managerial Administration Sector in order to operate and manage the Group in conjunction with Group Business Planning.
[2] Organizations to be dissolved as a result of newly established departments
The Strategic Headquarters, Automotive Parts Business will be dissolved as a result of the newly established Aisin-Group Corporate Planning Headquarters .

(2) Product Div.
[1] Business areas placed under the Product Div.
The five business areas of Powertrain Product, Chassis & Vehicle Safety System Product, Body Product, Aftermarket Product, and Life & Energy Product will each be bundled into their own Product Div..
[2] Functions to be retained
We will newly establish a Planning Dept. in each Product Div., transfer the sectors of Sales & Marketing, Engineering, Production Engineering, Components Purchasing, and Plants from each function-based sector and place all of these functions under the respective Product Headquarters.
[3] Establishment of a new Electronics Components Div.
We will newly establish an Electronics Components Div. in order to strengthen the competitiveness of our electronic components and ensure QCD as part of building product appeal in each product business. We will also newly establish an Administration Dept. within the Electronics Components Div., and transfer Engineering, Production and Technology, Procurement, and Plants from each function-based sector.
[4] Organizations to be dissolved as a result of newly established departments
With the establishment of the new Product Div., we will dissolve the Strategic Headquarters, L&E・New Business, Aftermarket Business Sector, Sales & Marketing Sector, Life & Energy, and Purchasing Sector of the Components Purchasing Dept..

(3) Innovation Center
[1] Concentration of human resources involved in market-oriented products and businesses
We will closely examine the themes of each System Development Department and concentrate the themes and human resources involved in market-oriented products and businesses.
[2] Organizations to be dissolved as a result of newly established center
We will transfer the New Business Promotion Dept. and IMRA Laser Business Dept. of the New Business Sector to the Innovation Center, and dissolve the New Business Sector.

(4) Managerial Administration Sector
[1] Change of the sector name
With the transfer of the Corporate Planning Dept. to the Aisin-Group Corporate Planning Headquarters , we will change the name of the Corporate Planning and Managerial Administration Sector to the Managerial Administration Sector.

(5) Sales & Marketing Sector, Automotive Systems
[1] Establishment of a new 1st Global Sales & Marketing Dept. and 2nd Global Sales & Marketing Dept.
We will divide the Global Sales & Marketing Dept. into the 1st Global Sales & Marketing Dept. and 2nd Global Sales & Marketing Dept. in order to strengthen activities for collecting information from our customers and feeding it to product planning and problem-solving proposals.

(6) Corporate R&D Sector
[1] Change of the name to Computer Aided Engineering Dept.
We will change the name of the System Control Engineering Dept. to the Computer Aided Engineering Dept. because analyses and simulations, and digital engineering centering on the development of new technologies for these analyses and simulations will be the major operations.
[2] Change of the name to Electronics Management Dept.
We will change the name of the Electronic System Development Dept. to the Electronics Management Dept. because the planning and promotion of measures to strengthen the entire electronics area is the purpose and mission of interdivisional communication.

(7) Product Promotion Sector
[1] Establishment of a new 1st Production Engineering Development Dept.
We will newly establish a 1st Production Engineering Development Dept. that consolidates the common technology force of the Body Components Production Engineering Dept., Power Train & Chassis Components Production Engineering Dept. , and Electronic Components Production Engineering Dept. in order to promote competitive manufacturing by making full use of various technologies, know-how and human resources.
[2] Change of the name to 2nd Production Engineering Development Dept.
With the establishment of a new 1st Production Engineering Development Dept., we will change the name of the Production Engineering Development Dept. to the 2nd Production Engineering Development Dept..

2. Changes in personnel (Described if any changes)
(1) Changes in management jurisdiction of Directors: 27 persons
(2) Changes in personnel of Executive Managing Advisors, Senior Technical Executives, and Associate Officers: 2 persons
(3) Newly appointed General Managers: 27 persons
(4) Newly appointed Deputy General Managers: 14 persons
