Introduction of a new system for board members, organizational changes and personnel reshuffle

News Release

This is to notify that Aisin adopted resolutions and made informal decisions on the introduction of a new system for board members and a reshuffling of board directors at the Board of Directors' Meeting held on March 26, 2012. The aims of these changes are to further strengthen group management and increase the speed of decision-making and business operations as part of promoting our group vision amidst today's globalization of businesses and fierce competition among companies as a result of that globalization.


1. Introduction of a new system for board members and reshuffling of board directors

I. Changes in the mechanism of management

(1) Streamline the "Board of Directors' Meeting" to speed up decision-making. Abolish Senior Managing Directors, Member of the Board. (The articles of incorporation shall be amended upon approval at the 89th Ordinary General Meeting of Shareholders.) Reduce the number of Executive Directors from the current 17 to about 11. (These Executive Directors shall take office upon approval at the 89th Ordinary General Meeting of Shareholders.)

(2) Newly establish the post of "Senior Managing Officer " (Operating Officer) and position the "Senior Managing Officer " as a responsible person for managing operations.

(3) By upgrading and expanding the duties of the Operating Officer, strengthen and speed up the group/global management of operations to promote our vision.

2. Contents of organizational changes

(1) To promote the business administration along regional/product axes

[1] New establishment of "Strategic Headquarters, Automotive Parts Business"

In order to not only develop and promote the execution of strategies along regional and product axes, but also promote responses to regional and product challenges in the automotive parts business, Aisin will dissolve the Global Business Promotion Dept. and newly establish the Strategic Headquarters, Automotive Parts Business. Also, Aisin will establish an Chief Regional Officer, Regional Officer, Chief Product Officer and Product Officer within the Strategic Headquarters, Automotive Parts Business.

[2] New establishment of "Strategic Headquarters, L&E・New Business"

In order to not only develop and promote the execution of strategies along product axes but also promote responses to product challenges in the L&E business, Aisin will dissolve L&E, Business Planning & Administration Dept. and L&E, Product Planning & Marketing Dept., and newly establish the Strategic Headquarters, L&E・New Business. Also, Aisin will establish an Chief Product Officer and Product Officer within the Strategic Headquarters, L&E・New Business.


3. Personnel reshuffle (Listed only when there are changes)

(1) Changes in the duties of board members: 28 people
(2) Board members to retire: 3 people
(3) Reshuffling of general managers and deputy general managers to new posts: 5 people
