Notice Regarding the Appointment of Temporary Accounting Auditor

Aisin Seiki Co., Ltd. (President: Yasuhito Yamauchi; Headquarters: Kariya, Aichi) announced today that the Company has selected and appointed a temporary accounting auditor via a resolution at a meeting of the Board of Auditors held on July 25, 2006. The details of the appointment are as follows.
- Reasons for selecting and appointing a temporary auditor
On May 10, 2006, the Company’s accounting auditor, ChuoAoyama PricewaterhouseCoopers, was ordered by the Financial Services Agency to suspend business operations for the two-month period from July 1, 2006 to August 31, 2006, and was accordingly disqualified from serving as accounting auditor. In order to avoid the absence of an independent auditor and ensure the continuity of auditing operations, the Company appointed PricewaterhouseCoopers Aarata as its temporary auditor as a result of an action by the Board of Auditors under the provisions of the Corporate Law, Article 346, Paragraphs 4 and 6.
