Business Strategies Merger Planned for Aisin Development and Aisin Living Planner

Two Aisin Group companies, Aisin Development Co., Ltd. and Aisin Living Planner Co., Ltd., have concluded a basic agreement to merge their operations after approval at a special meeting of shareholders scheduled on February 18, 2008. The merger will take place on April 1, and the surviving company will be Aisin Development. As a general developer of the Aisin Group, the combined company will continue to construct a stronger administrative infrastructure, enhancing the combined strength, and aiming for a high level of excellence to ensure customer satisfaction.

1. Background of the merger

Aisin Development and Aisin Living Planner have traditionally focused on different fields within the Aisin Group, a general manufacturer of automobile parts. Aisin Development has a history of steady growth in the areas of construction, engineering works, green works, real estate, insurance and factory support. Recently, it has further diversified its business by entering the caregiving sector in addition to urban development business which includes sales and lease of housing lots, apartments and homes. Aisin Living Planner, on the other hand, is also maintaining high growth in areas such as housing and building renovation as well as sales of interior household goods and used equipments based on its “Aisin Livelan” brand and lease financing services.

Society is undergoing great changes. With the shift toward emphasis on the environment, the globalization of business, and the rise in awareness of personal safety, both companies face a challenge of creating facilities and living spaces that are comfortable and safe, providing leasing and insurance services with higher quality, and providing better overseas factory support in order to handle global business expansion.

Given these demanding challenges with so many business areas in common, it has been resolved that the two companies would merge, to synergetically bring together people, materials, money and information to appropriately target society’s needs. It is believed that merging would best enhance the combined strengths of the group, boosting the earnings base and constructing an administrative infrastructure that is healthy and solid.

After the merger, the new company will be organized by business center as a base, under which functional department will develop projects according to their respective roles.
